Welcome to BearTaDa!

These Terms of Service are between you and BearTaDa LLC, doing business as BearTaDa ("BearTaDa," "we," "us," or "our").

BearTaDa operates this store and website, including the related information, content, features, tools, products, and services we make available to provide customers with a curated shopping experience (collectively, the "Services"). BearTaDa is powered by Shopify, which enables us to provide the Services.

These Terms of Service, together with any policies referenced in them, describe your rights and responsibilities when using the Services.

Please read these Terms carefully. They contain important information concerning your legal rights and include provisions relating to warranty disclaimers and limitations of liability.

By visiting, interacting with, or using the Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you should not access or use the Services.

SECTION 1 - ACCESS AND ACCOUNTS

By agreeing to these Terms, you represent that you are at least the age of majority in your state, province, or other jurisdiction of residence, or that you have provided any consent legally required for your minor dependents to use the Services on devices that you own, purchase, or manage.

To use certain Services, including purchasing products, you may be asked to provide information such as your email address, billing information, payment information, and shipping address.

You represent that the information you provide is accurate, current, and complete and that you have the right to provide it.

If you create an account, you are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account. You may not transfer, sell, assign, or license your account to another person without our permission.

We make reasonable efforts to accurately display and describe our products.

Because many BearTaDa products are made to order, minor variations in color, print placement, dimensions, or appearance may occur as part of the production process. Colors may also appear differently depending on your device, screen settings, lighting, and other factors.

Product descriptions, pricing, availability, specifications, and designs may change without notice.

We reserve the right to discontinue products or limit quantities offered to any person, geographic area, or jurisdiction where reasonably necessary.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase products subject to these Terms.

BearTaDa reserves the right to accept, decline, modify, or cancel an order when reasonably necessary, including because of suspected fraud, pricing or listing errors, product unavailability, payment issues, fulfillment limitations, or violations of these Terms.

Payment must be successfully processed before an order can proceed to fulfillment.

Please review your order carefully before submitting it. Because many BearTaDa products are made to order, we may be unable to accommodate cancellation requests after production has begun.

If we decline, modify, or cancel an order, we will attempt to notify you using the contact information supplied with your order.

Purchases are subject to our Return and Refund Policy.

Unless otherwise agreed by BearTaDa in writing, products are sold for end use and may not be purchased for unauthorized commercial resale or export. BearTaDa may separately approve corporate, wholesale, retail, licensing, or other commercial arrangements.

SECTION 4 - PRICES, TAXES, AND BILLING

Prices, discounts, and promotions may change without notice.

The price charged for a product will be the price displayed when the order is submitted, subject to correction of obvious pricing or listing errors.

Unless expressly stated otherwise, displayed prices do not include applicable taxes or shipping charges. Applicable amounts are calculated and displayed during checkout where required.

Prices on BearTaDa's website may differ from prices offered through marketplaces, retailers, promotional campaigns, or other sales channels.

You agree to provide current, complete, and accurate billing and payment information.

You represent that you are authorized to use any payment method submitted in connection with an order.

SECTION 5 - SHIPPING AND DELIVERY

BearTaDa products may be produced and fulfilled by third-party production partners.

Because different products may be manufactured at different facilities, products within the same order may arrive in separate shipments and on different dates.

Delivery dates and transit times are estimates and are not guaranteed.

Shipping may be affected by production schedules, carriers, destination, weather, customs processing, holidays, order volume, or events outside our reasonable control.

Shipping charges and available shipping methods are displayed during checkout.

When tracking information becomes available, it may be provided through order or shipping notifications.

Customers are responsible for providing a complete and accurate shipping address.

If an order is significantly delayed, damaged, lost, or marked delivered but cannot be located, please contact us so that we can investigate and assist where appropriate.

SECTION 6 - INTELLECTUAL PROPERTY

Content and materials created by or licensed to BearTaDa and made available through the Services, including BearTaDa trademarks, branding, text, original graphics, product imagery, video, audio, and site design, are owned by BearTaDa LLC or its licensors and are protected by applicable intellectual-property laws.

These Terms permit you to use the Services for personal, lawful, non-commercial use.

Except as permitted by applicable law or expressly authorized by BearTaDa, you may not reproduce, distribute, modify, publicly display, publicly perform, republish, commercially exploit, or create derivative works from BearTaDa-owned materials.

Nothing in these Terms grants you ownership of, or a license to, BearTaDa's trademarks, copyrights, designs, or other intellectual property except as expressly stated.

The BearTaDa name, logos, brand elements, product names, designs, and slogans may constitute trademarks or other intellectual property of BearTaDa LLC or its licensors. They may not be used in a manner likely to cause confusion as to source, sponsorship, affiliation, or endorsement.

Shopify and other third-party names, logos, trademarks, and content remain the property of their respective owners.

SECTION 7 - OPTIONAL TOOLS

The Services may provide access to third-party tools or functionality that BearTaDa does not control.

Unless expressly stated otherwise, such tools are made available on an "as is" and "as available" basis.

Your use of third-party tools is subject to the applicable third party's terms and policies.

We may introduce additional tools, functionality, or resources in the future, which may also be subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS

The Services may contain links to third-party websites, services, or materials.

BearTaDa is not responsible for the accuracy, availability, content, security, privacy practices, or business practices of third-party websites or services.

If you access third-party services, you do so subject to those providers' terms and policies.

Questions or complaints concerning third-party products or services should generally be directed to the applicable provider.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

BearTaDa is powered by Shopify, which enables us to provide the Services to you.

However, sales and purchases made through our store are made directly with BearTaDa.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and BearTaDa, including any injury, damage, or loss resulting from purchased products and services.

You expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with BearTaDa, to the extent permitted by applicable law.

SECTION 10 - PRIVACY

Personal information collected through the Services is handled in accordance with our Privacy Policy.

Certain information may also be processed by Shopify in accordance with Shopify's applicable privacy policies.

Because Shopify provides technology used to operate the Services, information submitted through the store may be transmitted to and processed by Shopify and other service providers, which may operate in jurisdictions different from your own.

SECTION 11 - FEEDBACK AND REVIEWS

If you voluntarily submit reviews, ideas, suggestions, comments, photographs, feedback, or other content to BearTaDa ("Feedback"), you represent that you have the necessary rights to submit that content.

To the extent necessary for us to display, promote, operate, and improve our business and Services, you grant BearTaDa a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, adapt, and publish Feedback submitted to us, subject to applicable law.

You remain responsible for the accuracy and legality of content you submit.

Feedback must not infringe intellectual-property rights, privacy rights, publicity rights, or other rights of another person.

We may remove content that we reasonably believe is unlawful, fraudulent, abusive, obscene, defamatory, infringing, misleading, or otherwise inappropriate.

SECTION 12 - ERRORS, INACCURACIES, AND OMISSIONS

The Services may occasionally contain typographical errors, inaccurate information, or omissions involving product descriptions, pricing, promotions, shipping charges, transit times, availability, or other information.

We may correct such information and modify or cancel affected orders where reasonably necessary.

If we cancel an order after payment because of an error for which you are not responsible, amounts paid for the cancelled portion will be refunded as appropriate.

You may use the Services only for lawful purposes.

You may not use the Services to:

violate applicable laws or regulations;
infringe BearTaDa's or another party's intellectual-property rights;
engage in fraud, impersonation, harassment, abuse, threats, or unlawful discrimination;
distribute malicious software;
knowingly submit false or misleading information;
interfere with the security or operation of the Services;
collect personal information unlawfully;
send spam or unauthorized solicitations; or
use the Services in a manner that materially harms BearTaDa, Shopify, customers, or third parties.

You may not bypass technological protections, access restrictions, authentication requirements, robot-exclusion measures, or other controls used to protect the Services.

We may limit or terminate access to the Services when we reasonably believe these Terms have been violated.

SECTION 14 - AUTOMATED AGENTS

This section applies when software or services acting autonomously or semi-autonomously on behalf of another person or entity ("Agents") access or interact with the Services.

Agents must comply with applicable technical requirements, access controls, and instructions associated with the Services.

Agents must not conceal automated access, circumvent CAPTCHAs or security measures, misrepresent themselves as human users where identification is requested, or bypass measures intended to restrict automated access.

BearTaDa may limit whether and how automated systems access or interact with the Services.

SECTION 15 - TERMINATION

We may suspend or terminate access to the Services if you materially violate these Terms, applicable law, or the rights of BearTaDa or others.

Termination does not eliminate obligations incurred before termination.

Provisions that by their nature should survive termination, including those relating to intellectual property, liability, privacy, indemnification, governing law, and amounts owed, will continue to apply.

SECTION 16 - DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

BearTaDa does not warrant that the website will always be uninterrupted, error-free, secure, or available.

Nothing in these Terms excludes warranties, guarantees, or rights that cannot legally be excluded or limited under applicable consumer-protection law.

SECTION 17 - LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, BearTaDa LLC and its owners, officers, employees, contractors, service providers, licensors, and affiliates will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or related to use of the Services or products purchased through the Services.

Where liability cannot legally be excluded, BearTaDa's liability will be limited only to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded.

SECTION 18 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless BearTaDa LLC and its affiliates, officers, employees, contractors, licensors, and service providers from third-party claims, damages, liabilities, losses, and reasonable legal expenses arising from:

your material breach of these Terms;
your violation of applicable law;
your infringement of another person's rights; or
unlawful or unauthorized use of the Services.

SECTION 19 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary.

The remaining provisions will remain in effect.

SECTION 20 - WAIVER AND ENTIRE AGREEMENT

Failure by BearTaDa to enforce a provision of these Terms does not waive our right to enforce that provision later.

These Terms, together with the policies and terms incorporated by reference, constitute the agreement governing your use of the Services and supersede prior agreements concerning that use.

SECTION 21 - ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without BearTaDa's prior written consent, except where applicable law provides otherwise.

BearTaDa may assign these Terms in connection with a merger, acquisition, financing, sale of assets, restructuring, or other legitimate transfer of the business or relevant rights.

SECTION 22 - GOVERNING LAW

These Terms and disputes arising from or relating to the Services will be governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles, except to the extent that applicable consumer-protection law requires otherwise.

Subject to applicable law, disputes arising from or relating to these Terms or the Services will be brought in the state or federal courts serving Tulsa County, Oklahoma.

Nothing in this section limits rights that cannot legally be waived under applicable law.
